Downgrading from Vista Ultimate

Is it possible to downgrade from vista ultimate to lets say Home Premium?
 
What can I do? Is there some discount price or am I pretty much out the $299
plus I
wasted on the ultimate version?--

If the retail upgrade version was used, not much save reformatting and reinstalling XP, obtain a refund or sell the Ultimate version and purchase the Home Premium version.
