If you have 98 installed, that qualifies, however if you don't back that
up as a restore image you will need a 9x/2K CD to be able to do a clean
install if that ever becomes necessary.

If your computer was designed for Win 98, the likelihood of having to do
a clean install in the future is much greater than a newer computer
built in this century.

Personally, I would wait until you need to buy a new computer to get on
the XP bandwagon.

If I understand what you are saying is...You have a Win XP CD that is not OEM
upgrade version(unless it was from your PC Company) and you have the valid
key code that came with it, then you should be able to upgrade from Win 98 to
Win XP. I was able to do this a few years back when XP home first came out.
I upgraded it and all that was required was the product key code from the XP
software package. I don't remember it asking me for the product key for 98
because it was already programmed into the software.

The way upgrades work, they don't look for previous Product Keys, but
for qualifying media, like a 9x/2k install CD or a 98/ME/2k installation
on the harddrive.

Even a burned copy of one of the CDs is enough to pass as qualifying
media to use an upgrade XP CD to install with. Product Keys of those
previous OSs never enter into the XP Upgrade equation.

Note that there is no OEM Upgrade version. OEM versions do clean
installations only.

I believe he wants to do a clean installation with an Upgrade
version, and wants to know whether an installed Windows 98
qualifies asprrof of a previous version to do so.

Yes, it does.

Yes, it does.

After re-reading the OP's post, I have to wonder where Ken comes to his
belief that the OP wants to do a clean installation, otherwise I concur
with the rest of his assessment.
