DLLHOST.EXE

The above file on my computer uses 95%+ of my CPU on an
almost constant basis. But why???
I have relatively new machine (Pentium 4 2Ghz, 512 Mb RAM
74 Gb HDD, DVD, CDRW, Broadband)
Recently reformatted and re-installed Win XP, plus
updates, printer drivers, office, etc.
Still happens (!) Task manager shows DLLHOST as the the
culprit hogging my processor and file properties suggest
this is an OS file/application.
Separately (I'm assuming), my broadband connection
constantly uploads without any explorer windows or other
net related open. This is a relatively new phenomenon -
task manager shows around 0.1 (10%?) average usage of my
broadband connection by something.
Any ideas anyone please?
