Disolving a domain

Hello, I've not been in this situation before. My company
acquired another company and I need to take their DC and
join it to my domain. They are a small firm and hence
their dc is also their file server with all their data,
dhcp, wins, dns, pretty much everything except exchange.
What I need to do is demote it to a member server and join
it to our domain and promote it again to be a dc. This is
the only domain controller in their current domain. Any
ideas on how to approach this? Am I going to run into any
problems demoting the only dc in the domain, will it even
let me? Any "proper steps" when dissolving a domain?

DCPromo each DC they own -- when you DCPromo the last
(back to server) their domain (and all user accounts will cease to
exist.)

The servers will continue to support the other NON-domain services
they provide -- as long as you consider the impact that the loss of the
domain accounts will have on such services as Exchange or SQL Server.

You might prefer to migrate the existing user accounts into your domain
prior to the dissolution -- research ADMT (Active Directory Migration
Tool) by downloading the latest 2.0+ version from Microsoft.
