difference between windows xp professoinal upgrade and full version

can i use the xp full version on a system that already has
windows 98 se? how will it be different from the upgrade ?
what are all the differences between the full and update?

Yes. However you can *not* use an OEM version (which many people
confuse with the Full version) to do an upgrade.

There won't be any difference at all.

There is only a single difference. If you use the Upgrade version
to do a clean installation, you have to insert the CD of a
previous qualifying version, as proof of ownership, when prompted
to do so. The Full version doesn't require this.
