I am running XP Pro. Recently my disk has started making noises. I bought
a new disk to replace the original. I got my XP Pro in the upgrade edition.
The machine was purchased with WinME

Can I use the WinXP CD to install windows on the new disk? If I do this, I
realize that I will have to copy all my email, docs, etc. from one disk to
the next.

Can I use some 3rd party imaging software to copy the first disk to the
second? I have looked over several imaging packages, but the one I am
looking at now (NTI Drive Backup!3) will only let me backup to CDs (dozens
of them!), in order to restore to the other disk.

I would prefer the second path if I could find a product that let me copy
the image to a partition on the second drive, then restore it to the boot
partition on the second drive. Any advice?

I use drive image 4.0. I have 2 bootable floppies and you can mirror from
one disk to another. Its great for this situation.

another good choice would be Norton Ghost!
what you can do is, make an image copy of a whole disk
with all partitions and the mbr, or copy just some
partitions. to be able to make the image copy, you need
to create a boot disk with the two app.files on it.
Using this software, you can make backups of your system,
which will be compressed, but may browse trhu it with a
ghost explorer software as well.
