CONTROL.EXE Process is causing processor to be 100% Utilized

I am running Win2K with SP4. It has the latest security patches as well.
1.6 GHZ with 256 RAM. Upon boot, the process CONTROL.EXE starts but the
control panel does not appear. Resources quickly go to 100%. Once we stop
the process using Task Manager, the computer runs fine. Anyone have any
ideas? I am running the latest and greatest McAfee anti-virus with up to
date DAT files. I have scanned the computer for any viruses and I don't
seem to have any. Thanks in advance.

Take a look in the Startup folder and see if there is a shortcut to it
in there thats starting it up. If so remove it.
 
I am sorry. I realized as soon as I got your reply that I didn't tell
anyone that the control panel never actually executes. Only the control.exe
process does. That is the puzzling part of this.

This has nothing to do with control panel - that runs under the explorer.exe
process. This is something else. Check the startup folder, and the run key
in registry. Also you could search for the control.exe file and check the
version info on what product it comes with.
