I have had multiple occurances when shutting down Windows that a program
named cicerowinframe.exe is not shutting down appropriately. I am unable to
locate any info related to this program. Does anyone know anything about this
process and what it does. As well as, can it be disabled or is it a problem.

Cicero is part of the advanced text services in XP.

Turn it off and see if the problem disapears.

It supports the advanced text services in unaware applications.
Some of these unaware applications and cicero don't play nice.

1. Tap Start, and then tap Control Panel.
2. In Control Panel - Regional and Language Options.
3. On the Languages tab, tap Details.
4. On the Advanced tab, tap to clear the Extend support of advanced
text services to all programs check box.

It might need a restart, can't remember for sure.

This makes sense but the advanced tab in WinXP does not have a check box to
disable the advanced text services to programs. There is a list of code page
conversion tables of which some can be deselected but others that are grayed
out are not able to be deselected. The only other check box is related to the
default user account setting which was deselected already. I deselected all
the code page conversion tables that could be deselected. At this time I have
not discovered a means to force this error so I do not know if this has
successfully eliminated the error.

We shall see.

Thats the wrong tab your looking at.
Your in Control Panel - Regional and Language Options-Advanced.

You need to look at
Control Panel - Regional and Language Options - Languages - Deatails -
Advanced
