Greetings --

It depends. If you have a retail version of Windows XP (ie you bought a
boxed copy) then yes. If you have an OEM copy (came installed on a PC) then
no. OEM copies of Windows are bound to the hardware they are sold on.

I have an OEM and it's merely a matter of making any
changes you want including MOBO and when activating you
can use the phone method and explain what you have done
and as long as you have a valid Product Key chance are
very good that Microsoft will simply give you a new
activation code. If Chris reads this I have one question
for you. With all the rather odd replies to posts that you
make could you please tell me what planet you're from?
Have fun.

Is it just a different CPU on the same motherboard? Then there should
be no real problem.

However if you are changing both the CPU and the motherboard and if
you are going to also transfer the contents of the old hard drive to
the new one then will almost certainly have to do a Repair Install as
per the instructions at
http://michaelstevenstech.com/XPrepairinstall.htm

If the old hard drive is totally dead and you are installing clean on
the new hard drive you will probably have to activate by telephone,
but that should not be a problem.

Good luck
