Can't kill a Process (msdtc.exe, PID 1500)

As result of doing .net upgrade, have a process (msdtc.exe)
running as identified as PID 1500. Going to tab and
trying to "kill" task unsuccessful. Denies access. Can't
find command line syntax for W2K Prof (e.g. killtask).
This process is taking all cpu cycles AND prohibiting and
subsequent app loads. Thanks.

Don't know if it helps but in Services:
"Distributed Transaction Coordinator"

What kind of messages if any are there in the event log?
