There are many times where I cannot close a IE window. I
tried repairing XP and reloaded ie6.0 with sp1 and still
have same problem. Only way to shut down is through
windows task manager. If I look at windows task manager
when I am having this problem, IE is using 99% of the cpu.

You do have an IE corruption, but it's in the Registry.
You can attempt a system restore (which will most
certainly destroy your registry and lose anything
sensitive that you've configured or saved in the last
while) and then reinstall, or you can dive into the
registry. Maybe a RegSweep will work? tried one yet?
