J Jane C Oct 9, 2007 #2 Hello John, Yes, you can inplace upgrade from Home Premium to Ultimate. Remember to check the DVDs - Ultimate comes with both x86 (32bit) and x64 (64bit). If your Home Premium is 32 bit, then upgrade to the 32 bit Ultimate.

J John Barnes Oct 11, 2007 #4 There should not be any activation issues as you have a new key. Run the upgrade from the desktop of your installed system. Select upgrade.
