I've been given a second hand computer for nothing
but it has win2k on it and when I start it up it asks for
a password. Is there any way of bypassing the password so
I can put in my own one?

Afraid not. You'll want to either get a username/pw from whoever gave it to
you that works, and then set up your own if desired, or re-install the OS
setting up your own accounts.

how do you reinstall the OS without getting into the final
boot-up? can I accomplish the samething by upgrading the
system too?

I was able to answer my own question. I upgraded my win2k
with XP by putting in the upgrade disc prior to restarting
the computer. Be careful not to miss the "press any key to
boot up from the CD" message. After that just follow the
instructions step-by-step. It took me about an hour but
it was well worth it.

Thanks for the help David.

Patrick.
