Blue screen with stop code oxooooood1

Occassionally the blue screen comes up durring dial up
with my modem with a stop code starting with 0x000000d1

Then the computer shuts down and restarts after memory is
dumped to disk.

This just happens occassionally,,,,Any help would be
appreciated
