Blocking Issue: Hardware Conflict --Please Help!

I am trying to install Windows XP Home Upgrade over Windows 98 4.10.

My configuration:

Athlon XP 3200
Gigabyte 7nnxp motherboard
512k ddr strip Nanya
Maddog Conquerer FX 5200 AGP 8x 128meg

I have some other PCI cards in the mix, but problem persists with only
Video installed and others removed.

XP claims there is a conflict between the motherboard and the video
card.

I have installed all the latest drivers for the motherboard and the
video card. I have also updated the Bios for the motherboard (No bios
updates exist for the videocard, it seems).

I have tried both the gigabyte drivers and the nvidia drivers.

I have tried removing the video card and using an old pci video card.

I have contacted technical support for the mb and video card.

Since a different video card doesn't work, I am assuming the problem
is with the motherboard.

The GB 7nnxp was voted motherboard of the year so I am assuming that
it is typically a fine motherboard for XP, else it wouldn't have been
honored in this way.

Since everything works perfectly in Windows 98, I am assuming this
blocking issue is something in Bios creating this problem for XP.

Do you agree? If so, do you have any ideas what settings in Bios will
solve this problem so I can install XP? I'd rather not do a fresh
install, due to 5 years of accumulated software, data, settings,
passwords, useful cookies on and on.

From Win98 (how did you ever get this to work with the mainboard!)
remove the video adapter, revert to generic vga, install XP, then
install the adapter and driver with the working XP.
