Since no one's seen the upgrade disks yet, it's hard to be specific about an
answer.
If the upgrade is machine specific (eg: supplied by emachines for an
emachine), then the answer would be no. If it's generic in nature, then yes
you should be able to use it on any machine. However....
1. While it may be technically possible, it may not be within the bounds of
the upgrade license agreement to use the upgrade on a machine other than the
one it's intended for. If it's generic in nature, there's no real way of
preventing it, but I am just providing this as information, not as a legal
opinion.
2. Consider the specifications of the refurbished Dell. Installing Vista on
a minimum spec machine will likely lead to a disappointing experience. Make
sure the machine (in particulate the video and memory) exceed the minimum
specifications by a fair amount before you use an upgrade license on it,
particularly if the license is OEM and cannot be later transferred.
