Question1: I'm planning on upgrading my PC with Vista retail installed on it
with another mobo. I really hate the idea of losing 1 of my 10 total
activations but why is there a de-activate option in the system properties at
the bottom? (below the performance index) I'm not on the PC at home with
Vista on it but I'm sure it's there.

Question2: This relates to the 10 activation issue. Now, I have a retail
copy, paid for, with the fancy packaging, non-upgrade version of Vista Home
Premium. If I go over the 10 activations, will I actually have to pay for
another ~$245.00 product key??? Opinion - That seems really unfair and
hostile of MS.

I don't know where you got your information, but its incorrect.
There is no limit to the number of times Windows Vista can
be activated or reactivated. If internet activation fails, then
choose the alternative to "activate by phone".

Thank you for telling me that I'm just flat out wrong. Never been more
relieved about being wrong before! Thank you for taking the time out in
order to answer my query. Have a good one.

Not exactly "all in your mind" TechNet Direct/Plus OS downloads include
MAKs (Multiple Activation Keys) which permit ten (10) individual or
concurrent installations and activations.

Carey's response needs clarification - Vista can be activated multiple
times but only on one computer and if being installed on a second computer
it must be removed from the first.
