32 bit version to 64 bit

When Vista is officially released, can the 32bit RC! be upgraded with the 64
bit version or do you have to do a clean install
 
Yes. I am using the same product key for both the 32-bit and 64-bit
versions of Vista RC1 (Build 5728) on 2 different computers. When I
originally got the key during Beta 2, Microsoft said it was good for
installation on up to 10 computers.
 
Yes the key will work fine.

No. You cannot do that with any 32 to 64 bit upgrade of any Windows
version.
