2 PC networking - help

Dear Sir/Madam,

I have 2 PC. One is running XP pro and another running
Win ME. I want to :

1. Share files
2. Share internet (internal modem)
3. To do files backup for both PC in one pc.

How to set this? What kind of hardware i needed?

pls help me.
